These terms govern the provision of advisory services by Khemloft (referred to as "we", "us", or "the company") to clients who engage with us through our website or directly. By enquiring about or using our services, you agree to these terms. Please read them before proceeding.

1. Who We Are

Khemloft is a technology procurement and vendor advisory firm based at 500 Ploenchit Road, Lumphini, Pathum Wan, Bangkok 10330, Thailand. We provide structured advisory services to businesses evaluating software tools and managing vendor relationships. We do not sell, resell, or distribute software products.

2. Services We Provide

We offer three advisory services:

• Tool Selection Session — a structured session to define needs and build an evaluation criteria list, priced at ฿3,800.
• Vendor Comparison Support — a collaborative engagement to compare shortlisted vendors and document a recommendation, priced at ฿19,000.
• Technology Vendor Advisory — an ongoing annual advisory arrangement covering purchasing, renewals, and vendor relationships, priced at ฿32,500 per year.

The scope, deliverables, and format of each service are described on our website and confirmed in writing prior to commencement.

3. Nature of Our Advice

Our services are advisory and informational in nature. We provide analysis, structured comparison frameworks, and documented observations to help your organisation make purchasing decisions. Our outputs represent our professional view based on the information you share with us and are not binding recommendations. Final decisions remain with your organisation. We do not accept liability for outcomes arising from decisions made on the basis of our advice.

We hold no referral arrangements or commercial relationships with any software vendor, platform, or technology provider. Our advisory is independent.

4. Engagement Terms

Engagements are confirmed by written agreement (email confirmation is sufficient) and payment of the applicable fee. Work begins once payment has been received unless otherwise agreed in writing. Scope adjustments during an engagement must be agreed in writing and may affect pricing and timelines.

5. Fees and Payment

Fees are as listed on our website at the time of engagement. Payment is due prior to the commencement of work unless we have agreed otherwise in writing. We accept bank transfer to accounts provided in our invoice. Invoices are issued in Thai Baht. Fees are non-refundable once work has commenced, except where we have failed to deliver a material element of the agreed scope.

6. Cancellation and Rescheduling

Sessions may be rescheduled with at least 48 hours' notice at no charge. Cancellations with less than 24 hours' notice may result in a rescheduling fee. Annual advisory engagements may be terminated by either party with 30 days' written notice; fees paid for the current billing period are non-refundable.

7. Confidentiality

We treat all information shared by clients as confidential. We do not disclose client information, project details, or business context to third parties without your consent, except where required by law. We ask that clients treat our methodologies, templates, and written outputs as confidential and not share them with direct competitors of Khemloft.

8. Intellectual Property

Deliverables produced during an engagement — including comparison templates, needs summaries, and written notes — are provided for your internal use once payment has been received in full. We retain the right to use our underlying methodologies, frameworks, and tools in future client engagements. We do not claim ownership of any client data or business information you share with us.

9. Limitation of Liability

To the extent permitted by Thai law, our liability to you in connection with any engagement is limited to the fees paid for that specific engagement. We are not liable for indirect losses, loss of business opportunity, or outcomes arising from purchasing decisions made following our advice.

10. Data and Privacy

We handle personal information in accordance with our Privacy Policy, which forms part of these terms. By engaging with us, you consent to the handling of your data as described there.

11. Website Use

The content on this website is provided for general information purposes. We make reasonable efforts to keep it accurate and current, but we do not warrant its completeness. You use the website at your own discretion. Links to third-party websites are provided for convenience only and do not imply endorsement.

12. Governing Law

These terms are governed by the laws of Thailand. Any disputes arising from our services or these terms will be subject to the jurisdiction of the courts of Bangkok.

13. Changes to These Terms

We may update these terms from time to time. Changes take effect from the date they are posted on this page. Continued use of our services after an update constitutes acceptance of the revised terms. The effective date at the top of this page reflects the most recent revision.
